These Procedures and Guidelines are intended only to be a general outline of minimum terms upon which CN would be prepared to consider an offer for the sale of any equipment shown on this web page. These Procedures and Guidelines are not intended to be and shall not constitute a binding legal obligation of CN, which shall arise only upon the execution and delivery by CN of a definitive purchase agreement.
- All sales shall be made on an "AS IS/WHERE IS with all faults," basis and CN shall make no representation and give no warranty whatsoever, whether legal or contractual, the purchaser buying at its own risks and perils. Without limiting the generality of the foregoing, there shall be no warranty expressed or implied on the condition of the equipment or on their suitability for any particular purpose.
- In no event shall CN be liable to any purchaser for any special, indirect or consequential damages including, without limitation, damages for lost profits, loss of data or costs of procurement of substitute goods or services, arising in any way out of any sale of equipment shown on this web page under any cause of action, whether or not CN has been advised of the possibility of such damages. These limitations shall apply notwithstanding the failure of the essential purpose of any limited remedy.
- It is the responsibility of the potential purchasers to inspect any equipment that is for sale before any offer is submitted.
- Any concerns relative to the condition of the equipment, and or missing or damaged components (if applicable) are to be reflected in the purchaser's "As is" offered price for the equipment.
- CN reserves the right to accept or reject any offer for any reason, in whole or in part, to negotiate with any party, or to reject all offers and terminate this process.
- The offer submitted will be the "net" proceeds. (All applicable taxes, delivery and transportation costs, if any, are extra and are the responsibility of the potential purchaser.)
- Unless otherwise noted in connection with any particular equipment, each offer may be submitted for individual pieces of equipment or for the whole lot.
- Actual delivery date will be dictated by operational requirements; however, once delivery date has been set by CN, storage charges will be assessed against the potential purchaser if the latter does not take possession of the equipment by such delivery date, unless purchaser's failure to take possession is caused by the sole negligence of CN.
- Inspection Process

- Inspections must be arranged in advance with contact listed for each Sales Group.
- Potential purchaser shall execute and deliver a copy of CN's standard release form prior to entering the property of CN to inspect any equipment shown on this web page or for any other purposes. Any entry made prior to execution of such release shall be deemed to have been made without CN's consent and will nevertheless be subject to the terms and conditions of the release form.
- PERSONEL PERFORMING INSPECTIONS ON CN PROPERTY MUST BE PROPERLY OUTFITTED WITH SAFETY GLASSES, STEEL-TOED SHOES, HARD HAT, AND SAFETY VEST.
- WITHOUT LIMITING THE GENERALITY OF ANY PROVISIONS HEREIN, PERSONEL PERFORMING INSPECTIONS MUST ALSO CONFORM TO CN POLICIES.
- Potential purchaser is responsible for their inspection costs and transaction expenses, as well as any fees (agents, brokers, appraisers, etc.) which they might incur.
- Payment Terms and Conditions

- Full payment must be received prior to taking possession of the equipment. In the event that full payment is not received within the prescribed timeframe date, CN may, at its option, undertake legal proceedings or consider the offer null and CN will be at liberty to dispose of the equipment as it deems appropriate, without liability to the purchaser and without prejudice to any remedies available at law or under contract.
- Payment can be done by wire transfer or certified cheque.
- Full payment must be received by CN prior to delivery of the equipment.
- Buyers acknowledge and consent, as a condition of sale that the sale proceeds, plus any applicable taxes, will be paid in full, in advance of delivery of the awarded material (s) and equipment.
